Mark,

No expert here, but I had a similar
thing happen. 
I went to the Device Manager in System
properties and Removed the modem and
the com port I'd set up for it.

On re-boot it found the modem, installed it
on com5 (I had 1-4 in use) and asked for
the install disk and installed it fine.

Just a shot in the dark.
